ThPA S.A. (“ThPA” or the “Company”), in accordance with the provisions of L.3556/2007, informs about the notification received by the company “Belterra Holdings Ltd” on 13/07/2022, regarding the merger through absorption of the intermediary company Melbery Investments Ltd by its parent company Belterra Investments Ltd.
The above corporate action takes place in the context of the internal restructuring and optimization of the shareholding structure and does not entail any change on the voting rights controlled by Belterra Holdings Ltd in the Company.
In particular, it is reiterated that Mr. Nikos Savvidis, controls, within the meaning of article 3 par.1 c) L. 3556/2007, Belterra Holdings Ltd, which controls, within the meaning of article 3 par.1 c) L. 3556/2007, Belterra Investments Ltd, which controls in total, both directly and indirectly, 7.242.932 of the Company’s voting rights, corresponding to a percentage of 71,85% of the total Company’s voting rights. In particular, Belterra Investments Ltd holds directly 489.332 of the Company’s voting rights, corresponding to a percentage of 4,85% of its total voting rights, and at the same time controls directly, within the meaning of article 3 par.1 c) L. 3556/2007, South Europe Gateway Thessaloniki (SEGT) Ltd, owner of 6.753.600 of the Company’s voting rights, corresponding to a percentage of 67,00% of the Company’s total voting rights.
