Transaction Disclosure Obligations

With regard to the Transaction Notification obligations, Regulation (EU) 596/2014 of the European Parliament and of the Council of April 16, 2014 on market abuse (Market Abuse Regulation – MAR) and Regulation 2016/522 of the European Commission are followed, as they have been transferred to the Greek legislation.

ThPA S.A., in application of the relevant legislation for the protection of the capital market from acts of persons possessing insider information and acts of market manipulation, promotes transparency through the Internal Organization and Operation Regulation (IOOR) and a specific procedure for the disclosure of transactions of persons exercising managerial duties and of persons closely related to them (Liable Persons), according to the provisions of the current legislative framework.

Regulated Information Law 3556/2007

In accordance to Law 3556/2007, Decision 1/434/3.7.2007 and Circular No. 33 of the Hellenic Capital Market Commission regarding to information disclosure and transparency requirements to issuers whose securities have been admitted to trading on an organized market, the procedure for notification of changes in significant holdings by the obliged persons is described below, as defined in articles 9, 10 and 11 of Law 3556/2007, which describes the way in which the liable persons inform ThPA S.A. and the Hellenic Capital Market Commission in case of:

  • acquisition or disposal of important participations
  • acquisition or disposal or exercise of important percentages of voting rights
  • acquisition or disposal of financial instruments
