ThPA S.A. has established the following Committees, based on Law 4706/2020 on Corporate Governance. 

Board of Directors Composition

Angeliki Samara is an Assistant Professor in Accounting at the Department of Accounting and Finance, School of Business Administration, University of Macedonia. She obtained her BSc in Economics from Aristotle University of Thessaloniki, pursued her MSc degree in Applied Economics and Finance with academic direction in Applied Accounting and Auditing from the National and Kapodistrian University of Athens and a PhD in Accounting from the University of Surrey, UK. She also holds a professional qualification in Audit from the Institute of Certified Public Accountants of Greece (SOEL).

She has extensive experience in accounting field and in the oversight of financial reporting and audit. She is a member of the Quality Control Committee (QCC) of SOEL. She held a position for ten years as a member of the Quality Control Board (QCB) of the Accounting Standardization and Auditing Committee (ELTE).

She has been an expert in EU twinning program on audit and accounting standards and corporate governance and a member of the team in the General Accounting Office (Ministry of Finance) for the preparation of the new Chart of Accounts for the Greek General Government.

She is also the Chairwoman of the Examinations Committee of the Institute of Certified Public Accountants of Greece (SOEL) for the conduction of the professional exams, independent non-executive member and member of the Audit Committee of Gr. Sarantis S.A., Alpha Real Estate Services S.A., AlphaLife S.A. and Dotsoft S.A.

She has participated in working groups at ELTE for the integration of Directive 2022/2464 regarding the submission of sustainability reports by businesses (Corporate Sustainability Reporting Directive/CSRD). She has also attended seminars organized by the Committee of European Auditing Oversight Bodies (CEAOB) regarding the assurance of sustainability report submissions.

She participates in national and international conferences of the accounting and audit field. Her research interests include Financial Reporting, International Financial Reporting Standards, Accounting, Auditing, Audit Committees and ESG. Her work has been presented in academic conferences and has been published in peer reviewed academic journals.

He is graduate of the School of Architecture of the Faculty of Engineering of Aristotle University of Thessaloniki. He holds a PhD in Engineering from the National Technical University of Athens and, since 1984, a member of the Technical Chamber of Greece (TEE) and the Association of Greek Architects (SADAS-PEA). He is holder of the Certificate for the 2018 C-Blue Training Program of CMPort and Shanghai Maritime University. Since 1984, he has been working as a freelancer, designer, and supervising engineer with forty years of experience in design, study, supervision, and construction of buildings, in the functional design of spaces and organization of construction sites. His business activity includes the establishment and operation for thirteen years as a partner and manager of the publishing-advertising-construction company Eurodiastasi Ltd.
He has held senior management positions in various organizations and was a member of various associations, cultural institutions and Chambers of Commerce.
In the period 2005-2011, he served as an architect in the Prefect’s Office and was responsible for the design and operation of the Cultural Center “Polychoros Apollon” of the Prefecture of Piraeus. From 17/10/2011 to 27/12/2013, he served as Deputy Administrator and Vice President of the Board of Directors of the Special Anticancer Hospital “METAXA” in Piraeus.
From 2008 to 2010, as a representative of the Association of Greek Architects (SADAS-PEA), he was Regular Member in the Town Planning and Architectural Control Committee of Piraeus Town Planning.

From 2005 to 2010, he participated in the auxiliary work of support to the Administrative and Educational Staff members at the Department of Geography and Regional Planning of the School of Rural & Surveying Engineering of National Technical University of Athens.

Since 23/03/2018, he has been an independent member and Chairman of the Audit Committee in the Board of Directors of the Thessaloniki Port Authority (ThPA) S.A.

Also, in his capacity as an engineer and having served as a senior manager in companies and bodies of the public and private sector, with legal responsibilities including representative issues such as the Environment, the Society and the Corporate Governance (ESG), he has gained a long experience on issues related to the identification of risks associated to sustainable development.
He has been distinguished and honored by many institutions, and has received international recognition for his writings, as he has written and led the publication of many books on European travel and Greek culture, with emphasis on the architectural heritage in the ports of the Mediterranean, which have been deposited in the Bibliotheca Alexandrina (International Library of Alexandria).

Dr. Ioannis Tsaras is currently the Chief Executive Officer of ThPA S.A. and from January 2025 is the Chairman of C.F.L.L. EXANTAS Port Training Institute.

Ioannis Tsaras obtained his degree from the School of Engineering of Aristotle University of Thessaloniki (1975-1980), his Master’s degree (MSc) from the Department of Civil Engineering of the University of California (1981-1982), and a Doctorate degree (PhD) from the Department of Civil Engineering of the University of Michigan, USA (1982-1985).

Mr. Tsaras was Managing Director and CEO of AN.KO S.A. (1990-1993), a development company that executes large energy, irrigation and spatial planning projects, then CEO of K.EP.A. (1994-2004), a company founded by the Federation of Industries of Northern Greece and the Association of Exporters of Northern Greece, which finances small and medium-sized enterprises, as well as eligible industries, leveraging resources from European financial instruments, designed for the private sector.

After that he was appointed as Managing Director and CEO of the listed company ThPA S.A. (2004-2010), executive vice president of ELIME and later of EKAL (National Port Development Center), member of the Board of Directors of ESPO (European Seaport Organization) as a representative of Greek Ports. From 2010 – 22/8/2024, he has worked as General Manager of PFIC Ltd, a large phosphate fertilizer chemical industry, with over 1.000 employees.

He participated in monitoring and auditing committees of sectoral and regional programs of the European Community Support Framework (Interreg, Retex, Valoren, Leader).

Mr. Tsaras worked as Researcher and Teacher in the area of computational fluid mechanics and sea waves.

He has been a member of Thessaloniki Bar Association since 2008, having previously been a partner in a law firm in Thessaloniki. He is the Director of the Legal Department in a Group of companies with diverse activities and a member in the Board of Directors of various companies.

He has extensive experience in the corporate governance of societes anonymes, especially in the field of transport and tourism and specializes in mergers & acquisitions of companies in Greece and abroad with a particular emphasis on stock market transactions.

Martin Masson is a seasoned international executive with more than 20 years of professional experience half of which as an executive in the Ports and Terminals industry.
He graduated as a Civil Engineer from Ecole Speciale des Travaux Publics in Paris and is a member of CFA Institute.
He is currently the CEO of Terminal Link, a port operator owned by CMA CGM (51%) and China Merchants (49%) and managing 21 terminals woldwide.

He is the Chairman of container terminals in GMP Le Havre and Somaport Casablanca and holds several other board member seats in France, the US, Jamaica, Marocco, the Netherlands, Belgium, Ukraine, Ivory Coast, Iraq.
He has an extensive experience in multi-cultural environments and a proven track record with all types of stakeholders including SOE, investment funds, family businesses, multinational companies.

Ms. Zonglyu LU joined Terminal Link in 2019 and now serves as the Project and Commercial Manager.

She holds a Master’s Degree in Logistics Engineering from Shanghai Maritime University and has over 15 years of experience with extensive expertise in container terminal operation, marketing, commercial negotiation, business development, project management, public relations, etc.

 

Afroditi Nestora is a Supreme Court Attorney and appointed to the Thessaloniki Court of First Instance. She has been practicing active litigation for 20 consecutive years, specializing in banking and financial law. She is a graduate of the Faculty of Law at Aristotle University of Thessaloniki (A.U.Th.) and holds a Master’s degree (LL.M.) in International Commercial and Economic Law from the University of Kent (U.K.C KENT UNI), awarded with Distinction. She is currently a Ph.D. candidate at the Law School of Democritus University of Thrace.

She is an accredited mediator by the Ministry of Justice, trained by the Thessaloniki Mediation Training Institute, where she continues to serve as a member of the Institute’s Governing Committee, as well as by the ADR ODR International Institute in the United Kingdom. In this capacity, she has conducted numerous mediations in commercial and civil disputes.

She has served for several years as an elected member of the Board of Directors of the Thessaloniki Bar Association (TBA), as President of the Bar’s Sports Committee, and as President of the Bar’s Public Relations, Communication & Social Awareness Committee.

 

 

She is a member of the Board of Directors of the Supplementary Insurance Fund of Thessaloniki Lawyers and an active member of the Hellenic Association of Commercial Law Experts, the Alumni Association of the Faculty of Law of Aristotle University of Thessaloniki, and the Hellenic Association of Medical Law.

She has been a speaker at legal conferences focusing on the promotion of entrepreneurship, extroversion, exports, and corporate law—particularly in the area of corporate governance. She also writes regularly for legal journals and newspapers on topics related to economic and stock-market law, as well as corporate restructuring law. She has spoken at various legal conferences, primarily on corporate law, and has also organized, through her law firm “A. Nestora & Associates,” legal-focused sessions at prominent economic conferences.

At the level of volunteer work and corporate social responsibility, Afroditi Nestora is, among other roles, the President and founding member of the organization RED-Y.

She is a member of the Thessaloniki Bar Association since 2011 and holds a LL.M. in Criminal Law and Criminology of Aristotle University of Thessaloniki. Until 2017 she was an associate in a law firm in Thessaloniki specialized in corporate and commercial law. In 2019 she joined the Legal Affairs Department of ThPA S.A., of which she has been Head since December 2022.

She has experience in commercial and corporate law, corporate governance and compliance, development of policies and procedures, commercial contracts and agreements.

He studied Economics at the University of Macedonia and holds a postgraduate degree in Banking.

He is a member of the Economic Chamber of Greece and was an employee and then auditor in various areas at the Tax Office A’ of Serres.

He is a certified internal auditor by the National Centre for Public Administration and Local Government (EKDDA) and works at the Independent Authority for Public Revenue (AADE) as an Internal Audit Inspector in the D’ Department of Thessaloniki.

In the context of his responsibilities over the years, he has conducted several internal audits in many AADE services throughout Greece.

He served as Director of the Taxation Region of Thessaloniki, overseeing and coordinating all Tax Offices in the prefectures of Thessaly, Macedonia, Eastern Macedonia, and Thrace.

He was elected Member of Parliament for PASOK in Serres in 2004, 2007, 2009, and was a member of the Economic Affairs Committee and president of the State’s budget balance and review committee. He served as rapporteur on various tax and other bills.

He has a rich trade union, cultural, and social presence and activity.
